1. Agreement to Terms

By installing or using SwipeReel ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.

2. Description of Service

SwipeReel is a Shopify application that enables merchants to create shoppable video experiences on their online stores. The Service includes:

• Video upload and management tools
• Product tagging functionality
• Various video widget types (Stories, Carousel, Floating, Inline)
• Analytics and reporting features
• Integration with Shopify themes

3. Shopify App Requirements

SwipeReel is designed to work with Shopify. By using SwipeReel, you also agree to comply with Shopify's Terms of Service and acceptable use policies.

You must have an active Shopify store to use SwipeReel. We reserve the right to suspend or terminate access if your Shopify store is suspended or terminated.

4. Accounts and Registration

When you install SwipeReel, an account is automatically created using your Shopify store information. You are responsible for:

• Maintaining the security of your Shopify account
• All activities that occur under your account
• Ensuring your account information remains accurate
• Notifying us of any unauthorized access or security breaches

5. Subscriptions and Billing

5.1 Free Plan

SwipeReel offers a free plan with core features. Free plan users have access to unlimited videos and unlimited feeds.

5.2 Pro Plan

The Pro plan provides unlimited videos, unlimited feeds, and additional features as described on our pricing page. The Pro plan is billed through Shopify's billing system.

5.3 Billing

Pro plan subscriptions are billed monthly or annually through Shopify. By subscribing to Pro, you authorize Shopify to charge your payment method on a recurring basis.

5.4 Cancellation

You may cancel your Pro subscription at any time. Upon cancellation, you will retain access to Pro features until the end of your current billing period, after which your account will revert to the Free plan.

5.5 Refunds

We offer a 14-day money-back guarantee for Pro subscriptions. If you're not satisfied within 14 days of purchase, contact us for a full refund. After 14 days, refunds are not available for unused portions of subscription periods.

6. Acceptable Use

You agree not to use the Service to:

• Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, or otherwise objectionable
• Violate any laws, regulations, or third-party rights
• Upload content that infringes on intellectual property rights
• Distribute malware, viruses, or harmful code
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the Service or servers
• Use the Service for any illegal or unauthorized purpose
• Resell or redistribute the Service without authorization

7. Content Ownership and Rights

7.1 Your Content

You retain all ownership rights to the videos and content you upload to SwipeReel. By uploading content, you grant us a limited license to host, store, display, and distribute your content as necessary to provide the Service.

7.2 Content Responsibility

You are solely responsible for all content you upload. You represent and warrant that:

• You own or have the necessary rights to the content
• The content does not infringe on any third-party rights
• The content complies with all applicable laws

7.3 Our Intellectual Property

The Service, including its original content (excluding user content), features, and functionality, is owned by SwipeReel and protected by copyright, trademark, and other intellectual property laws.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SWIPEREEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID US IN THE PAST TWELVE MONTHS, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF DEALING.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Indemnification

You agree to defend, indemnify, and hold harmless SwipeReel and its officers, directors, employees, contractors, agents, licensors, and suppliers from any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use of and access to the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload or transmit through the Service

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may uninstall the app from your Shopify store.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SwipeReel operates, without regard to its conflict of law provisions.

14. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service will first be attempted to be resolved through good faith negotiation. If the dispute cannot be resolved through negotiation, it shall be resolved through binding arbitration.
